Terms & Conditions

AssetHub Inc. ("Company") establishes the following Terms & Conditions ("Terms") as the basic conditions for the use of all services provided through AI models ("Service") by users ("Users").
By using the Service, Users are deemed to have agreed to all of these Terms. Any terms of use previously in effect as of the date these Terms are published shall be consolidated into these Terms, and these Terms shall apply to all use of the Service from this date forward, including by existing Users.
1. Use of the Service
Users may use the Service to input information such as images and other data ("Information") into AI models provided by the Company — including through training (including retraining and fine-tuning) or prompt input — to generate outputs including 3D models, generated images, and text ("Outputs").
- Users shall prepare, at their own cost and responsibility, all devices, communication services, internet connections, and any other environment necessary to use the Service.
- Users must not input the following types of Information into the Service for training or as prompts:
- Personal information (i.e., information that can identify a specific individual, such as name, address, or date of birth)
- Confidential information (i.e., undisclosed information of Users or third parties, or information whose disclosure is prohibited)
- Information containing third-party intellectual property rights for which permission to use in the Service has not been obtained
- Information that may lead to the generation of pornographic material or explicit nudity
- Information that may lead to the generation of Outputs intended for discrimination or attacks against others based on race, ethnicity, religion, gender, physical characteristics, medical conditions, or sexual orientation
- The Company may use generative models and texture image generation models provided by third-party providers in the delivery of the Service. When such third-party models are used, Users are responsible for reviewing and complying with the terms of use of those third-party providers.
2. Intellectual Property
- All intellectual property rights and other rights in Outputs generated through the use of the Service belong to the User or the third party who holds rights in the original Information.
- All intellectual property rights in the AI models used in the Service and all associated programs and systems (collectively, "AI Models") belong to the Company or its licensors.
- Users must not reproduce, or otherwise use or allow third parties to use, the AI Models without the permission of the Company or its licensors.
- Users may use the AI Models of the Service only within the scope authorized by the Company.
3. Company Commitments
- The Company will not use Information input by Users into the AI Models (whether for training or as prompts) or Outputs generated through the Service for the benefit of any third party other than the Company and the relevant User.
- As described in Section 1(3), the Service may involve the use of third-party generative models, in which case Information and Outputs may be stored on servers managed by those third-party providers. The Company does not control whether such third-party providers may use that Information or Outputs for purposes other than those intended by the User. Users are responsible for reviewing the applicable third-party terms of use for details.
4. Prohibited Activities
In addition to the restrictions above, the following activities are prohibited when using the Service:
- Acts that infringe or may infringe upon the property, rights, intellectual property, or economic interests of the Company or third parties
- Acts that defame, unfairly discriminate against, or slander the reputation or credibility of the Company or third parties
- Communication interference, interception, unauthorized access to servers operating the Service, or attacks on server systems or security
- Transmission of computer viruses or other malicious data
- Exploitation of any bugs, malfunctions, or other unintended states of the Service to gain an unfair advantage, or inducing or assisting others to do so
- Development, distribution, or use of unauthorized tools, applications, pirated versions of the Service, or cheat tools, or inducing or encouraging third parties to do so
- Deletion, alteration (including data tampering), modification, adaptation, creation of derivative works, decompilation, disassembly, or reverse engineering of the Service, or inducing or encouraging third parties to do so
- Redistribution, lending, resale, or transfer of all or part of the Service (including copies)
- Acts that interfere with the operation of the Service
- Threatening acts against the Company or third parties
- Criminal acts, unlawful acts, or acts connected thereto, or inducing or assisting others to commit such acts
- Acts contrary to public order and morality
- Acts that violate any applicable laws, regulations, or ordinances
- Any other acts that the Company determines to be inappropriate
5. Suspension and Restriction of Use
The Company may immediately suspend or restrict a User's use of all or part of the Service if the Company determines that any of the following applies:
- The User has engaged in prohibited activities or has otherwise violated or is likely to violate these Terms
- A petition for bankruptcy, civil rehabilitation, or other insolvency proceedings has been filed against or by the User
- The Company determines that the User's actions may interfere with the Company's operations
6. Termination of Service
The Company may terminate the agreement with a User and end the provision of the Service if any of the following applies:
- The User has previously been subject to suspension or termination in connection with any of the Company's services
- The User has been suspended or restricted under Section 5 and fails to demonstrate that the Company's determination was in error within six (6) months of the suspension or restriction
- The User has been suspended or restricted under Section 5 and fails to remedy the cause within the period specified by the Company after receiving notice
- The Company reasonably determines that provision of the Service to the User is inappropriate or impossible
7. Changes, Termination, and Interruption of the Service
- The Company may change the content of the Service, in whole or in part, without prior notice to Users.
- The Company may terminate the provision of all or part of the Service at its discretion. Except in cases of emergency, the Company will publicly announce or notify Users in advance by a method the Company deems appropriate.
- The Company may interrupt the provision of the Service without prior notice if any of the following occurs. Except in cases of emergency, the Company will publicly announce or notify Users in advance by a method the Company deems appropriate:
- Scheduled or emergency maintenance or repair of hardware, software, communication equipment, or other resources used to provide the Service
- Disruption of internet, mobile, or other communication lines
- Force majeure events such as natural disasters
- Fire, power outages, or other unforeseen incidents
- War, conflict, civil unrest, riots, or labor disputes
- Any other circumstances where the Company determines that interruption of the Service is necessary
8. Disclaimer
- The Company does not guarantee any of the following, and shall bear no liability except in cases of willful misconduct or gross negligence:
- That the Service is free of bugs or other defects, or is otherwise complete, reliable, secure, and effective
- That the Service will be available without interruption in any environment or will function on all devices
- The completeness, accuracy, applicability, or usefulness of any Outputs generated through the Service
- That the Service does not infringe upon any third-party intellectual property or other rights
- That the User's use of the Service complies with applicable laws, regulations, or industry rules
- That the User's use of the Service is suitable for any particular purpose
- The Company shall bear no liability for damages caused to Users by unauthorized access, computer viruses, or other third-party actions (including actions by third-party providers described in Section 3(2)), except in cases of willful misconduct or gross negligence on the part of the Company.
- If a User causes damage to a third party or a dispute arises with a third party through the use of the Service, the User shall resolve such matter at their own responsibility and expense and shall not hold the Company liable. The User shall fully compensate the Company for any damages or costs (including, but not limited to, attorney fees) incurred as a result of any such dispute.
9. Damages
- If a User causes damage to the Company due to a violation of these Terms or other causes attributable to the User, the User shall compensate the Company for such damage.
- If the Company causes damage to a User due to causes attributable to the Company, the Company shall compensate the User for such damage. However, except in cases of willful misconduct or gross negligence, the Company's liability shall be limited to direct damages actually incurred by the User (excluding lost profits, consequential damages, and other indirect damages) and shall not exceed the total fees received by the Company from the User for the Service.
10. Validity of These Terms
- If any provision of these Terms is found to be invalid under applicable law, the validity of the remaining provisions shall not be affected.
- If any provision of these Terms is found to be invalid or voided in relation to a particular User, the validity of that provision in relation to other Users shall not be affected.
11. Governing Law and Jurisdiction
Any disputes arising between a User and the Company in connection with the Service shall be resolved in accordance with applicable law. The parties agree to submit to the exclusive jurisdiction of the competent courts.
12. Changes to These Terms
- The Company may modify these Terms. If these Terms are modified, the updated version will be posted on the Company's website. Users should review the updated Terms.
- By continuing to use the Service after these Terms have been modified, Users are deemed to have agreed to the changes.
